These Terms of Service (“Terms”) are a legal agreement between you (“Customer”, “User”, or “you”) and Magnity ApS (“Magnity”, “we”, “our”, or “us”). By accessing or using our software-as-a-service platform and related services (“Services”), you agree to be bound by these Terms.

Definitions

• “Affiliate”: Any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
• “Client Data”: All data and content submitted or uploaded to the Platform by you.
• “Platform”: The Magnity SaaS platform provided via cloud access.
• “Services”: Access to the Platform, support, onboarding, integrations, and any related deliverables provided by Magnity.
• “Order Form”: The mutually agreed-upon document specifying the scope, pricing, and duration of your subscription.

Access and Use

1. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use our Services.

2. Account Responsibility

You are responsible for all activity under your account and must safeguard your login credentials.

3. Permitted Use

You may use the Services for your internal business purposes only. You agree not to:

• Reverse engineer or decompile the Platform;
• Use the Platform for unlawful purposes;
• Provide access to unauthorised third parties;
• Circumvent access limits as defined in your Order Form.

4. Trial and Beta Access

Magnity may offer trial or beta access features which are provided “as is” with no warranties. We may modify or terminate such features at any time.

Subscription and Fees

1. Subscription

Access to the Platform is provided under subscription plans specified in your Order Form. Fees are due in advance unless otherwise agreed.

2. Overage and Adjustments

If usage exceeds the limits in your plan, additional fees will apply per our Rate Card. Pricing may be adjusted annually with 60 days’ notice.

Data Protection

1. Data Processing

Magnity processes personal data in accordance with the applicable Data Processing Agreement (DPA) and the GDPR.

2. Client Data Ownership

You retain all rights to your Client Data. You grant us a limited license to use this data solely to provide and improve the Services.

3. Subprocessors

We use authorised third-party subprocessors to provide elements of our Services. A current list is available upon request.

4. Data Security

We maintain appropriate technical and organisational security measures. Details are outlined in our compliance documentation.

Acceptable Use Policy

You agree not to upload, transmit, or store content that:

• Violates any law or regulation;
• Infringes intellectual property rights;
• Includes malware or harmful code;
• Is discriminatory, defamatory, or abusive.

Service Levels and Support

Service uptime and support are governed by the Service Level Agreement (SLA) referenced in your Order Form. We will provide scheduled maintenance notices and response times per subscription tier.

Intellectual Property

Magnity retains all ownership and intellectual property rights to the Platform and Services. You may not copy, modify, or distribute any part of the Platform without our written consent.

Termination

1. Termination by You

You may cancel your subscription per the terms in your Order Form. Fees remain due for the current term.

2. Termination by Us

We may suspend or terminate access for violations of these Terms or non-payment, with or without notice.

3. Post-Termination

Upon termination:

• Your access will be revoked;
• You will have 30 days to retrieve your Client Data;
• We may delete Client Data thereafter, unless required by law to retain it.

Limitations of Liability

To the maximum extent permitted by law, Magnity is not liable for indirect or consequential damages. Our total liability is limited to the fees paid by you in the 12 months preceding the incident.

Governing Law

These Terms are governed by the laws of Denmark. Any disputes shall be resolved under the exclusive jurisdiction of the Danish courts.

Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes means you accept the revised Terms.
